Terms of Service

These Terms of Service (“Terms”) govern your use of helmstead.app and the Helmstead application (the “Service”), operated by MDN Solutions LLC, a Wyoming limited liability company (“Helmstead,” “we,” “us”). By using the Service you agree to these Terms. If you do not agree, do not use the Service.

Helmstead is software for entity-formation guidance, fundability tracking, business-credit tools, and related features. We may add, change, or remove features over time.

You must be at least 18 and using the Service for business purposes. You are responsible for the accuracy of the information you provide and for safeguarding your account credentials and all activity under your account.

You agree not to use the Service unlawfully; not to scrape, overload, reverse-engineer, or interfere with it; and not to circumvent security, rate limits, or access controls.

Some features are free; paid plans are billed through Stripe under the price and terms shown at the time of purchase. Unless stated otherwise, paid plans renew for successive terms until cancelled, and fees are non-refundable except where required by law. We may change pricing prospectively with notice.

Helmstead provides software and general informational guidance. It is not legal, accounting, investment, or tax advice, and using it does not create a professional-client relationship. Decisions about your entity, financing, or taxes should be confirmed with a qualified, licensed professional such as your CPA or attorney.

You retain ownership of the information you submit. You grant us the limited license needed to host and process that information to operate the Service. Our handling of personal data is described in our Privacy Policy.

The Service, including its software, design, and content, is owned by Helmstead and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.

The Service relies on third-party providers (see the subprocessor list in our Privacy Policy). Your use of certain features may also be subject to those providers’ terms — for example, Stripe for payments.

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that any estimate or result it produces is accurate for your specific situation.

To the maximum extent permitted by law, Helmstead will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim arising out of or relating to the Service will not exceed the greater of the amounts you paid us in the twelve months before the claim or US $100.

You agree to indemnify and hold Helmstead harmless from claims arising out of your misuse of the Service or violation of these Terms.

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or to protect the Service. Provisions that by their nature should survive termination will survive.

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. The state and federal courts located in Wyoming will have jurisdiction, except where applicable law provides otherwise.

We may update these Terms; material changes will be reflected by the effective date above and, where appropriate, additional notice. Continued use of the Service after changes take effect means you accept them.
